BlunkWorks Master Software License Agreement

End User License Agreement (EULA) · Effective July 6, 2026 · Version 1.0

This End User License Agreement (this "EULA") is a legal agreement between you ("you" or the "Licensee") and BlunkWorks, LLC, an Oklahoma limited liability company ("BlunkWorks," "we," or "us"), governing your installation and use of BlunkWorks software applications, including any accompanying files, updates, and documentation (each, the "Software"). Products covered include, without limitation, ScopeBuilder Pro, StockPilot, and OrbitDisk Pro.

By installing, activating, or using the Software — or by clicking to accept — you agree to this EULA. If you do not agree, do not install or use the Software. This EULA works together with the BlunkWorks Master Terms of Service and any product-specific agreement (such as the OrbitDisk Pro EULA & Terms of Sale). Where a product-specific agreement conflicts with this EULA, the product-specific agreement controls for that Product.

Licensed, not sold. The Software is licensed to you, not sold. BlunkWorks retains ownership of the Software. You receive only the rights expressly granted below.

2. License grant

Subject to your compliance with this EULA and payment of applicable fees, BlunkWorks grants you a limited, non-exclusive, non-transferable, non-sublicensable license to install and use the Software as follows:

2.1 Subscription Software

For Products licensed on a subscription basis (e.g., ScopeBuilder Pro, StockPilot), you may use the Software for your internal business purposes for as long as your subscription is active and in good standing, subject to the user and device limits described for your plan. The license ends when your subscription ends.

2.2 One-Time-Purchase Software

For Products licensed under a one-time purchase (e.g., OrbitDisk Pro), you receive a perpetual license to install and use the Major Version you purchased for your internal purposes, subject to the version-locking and activation terms below. "Perpetual" means the license for that Major Version does not expire, but it remains subject to the restrictions, disclaimers, and termination/revocation provisions of this EULA.

3. Version-locked licensing & upgrades

Your one-time-purchase license entitles you to the Major Version you purchased and all minor and maintenance releases within that Major Version (for example, if you purchased version 2.0, you are entitled to 2.1, 2.2, and so on). A future Major Version (e.g., 3.0) is a separate product and may require a paid upgrade at a price and on terms we set at the time it is released. You are not obligated to upgrade; your purchased Major Version continues to operate under this EULA. We are not required to maintain, support, or ensure compatibility of superseded Major Versions indefinitely.

4. Activation, node-locking & limits

The Software may require online activation and periodic validation using your License Key and Machine Identifier. Each edition permits use on a limited number of devices (its "activation limit"), as described for that Product and edition. You may move a license between devices by deactivating one device to free a seat, subject to reasonable anti-abuse limits. We may use license validation, revocation lists, and integrity checks to enforce these limits and detect misuse.

5. Named licensee

The license is issued to a named licensee — the individual or entity and email address associated with the purchase. The license is personal to that licensee and may not be transferred, resold, leased, loaned, or assigned to another person or entity except with our prior written consent, or as required by law.

Except to the limited extent applicable law prohibits such restrictions, you may not, and may not allow anyone else to:

The Software may be offered with a free trial. Unless stated otherwise for a Product, when the trial ends the Software does not delete your data or lock you out of your files — it continues in a limited, trial, or unlicensed mode until you purchase a license. Trial terms are set per Product and may change.

8. Ownership & reservation of rights

The Software is protected by copyright and other intellectual-property laws and treaties. BlunkWorks and its licensors own all right, title, and interest in and to the Software, including all copies and all intellectual-property rights. All rights not expressly granted to you are reserved.

9. Updates & future compatibility

We may, but are not obligated to, provide updates, bug fixes, or new features. Updates are governed by this EULA unless accompanied by a separate license. We make no guarantee that the Software will remain compatible with future or changed operating systems, hardware, macOS or other OS versions, security policies, file systems, or third-party software or services. Changes outside our control may reduce or disable functionality, and we are not liable for such effects. Continued compatibility, if any, may be provided only in a later release or Major Version, which may require a paid upgrade.

10. Your data & backups

You are solely responsible for your data and for maintaining current backups. Where the Software modifies, moves, deletes, organizes, or processes files or data on your device or account, you are solely responsible for the selections you make and the actions you confirm. The Software is provided as a tool; it does not relieve you of the responsibility to verify results and keep backups. Product-specific data-handling safeguards and disclaimers (for example, OrbitDisk Pro's disk-operations disclaimer) are set out in the applicable product-specific agreement and apply in addition to this section.

11. Disclaimer of warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. BLUNKWORKS DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT IT WILL NOT LOSE, DELETE, OR CORRUPT DATA. YOU ASSUME THE ENTIRE RISK AS TO RESULTS AND PERFORMANCE. Some jurisdictions do not allow certain exclusions, so parts of this section may not apply to you.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BLUNKWORKS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOST PROFITS, LOST REVENUE, OR LOST, DELETED, OR CORRUPTED DATA, ARISING OUT OF OR RELATING TO THE SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SOFTWARE WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID FOR THE APPLICABLE LICENSE OR USD $50. These limitations apply even if a remedy fails of its essential purpose.

13. Term, termination & revocation

This EULA is effective until terminated. Your license terminates automatically if you breach any of its terms. We may also suspend or revoke a license — including by placing it on a license revocation list that disables activation and validation — in cases of payment reversal or chargeback, fraud, license abuse or sharing, circumvention of licensing or integrity controls, or violation of this EULA or the Terms of Service. On termination you must stop using and remove the Software. The provisions on ownership, restrictions, disclaimers, limitation of liability, and general terms survive termination. Revocation for cause does not entitle you to a refund.

14. Export & government users

You represent that you are not located in, and will not use or export the Software in violation of, any applicable export-control or sanctions laws, and that you are not on any restricted-party list. If you are a U.S. Government end user, the Software is "commercial computer software" and is provided with only the rights granted to all other end users under this EULA.

15. General terms

This EULA is governed by the laws of the State of Oklahoma, USA. The governing-law, venue, dispute-resolution, arbitration, class-action-waiver, severability, entire-agreement, assignment, waiver, force-majeure, and notice provisions of the Master Terms of Service are incorporated into this EULA by reference and apply to it. This EULA, together with the Terms of Service and any product-specific agreement, is the entire agreement between you and BlunkWorks, LLC regarding the Software.
